These Terms of Service ("Terms") govern your use of AI Leverage's business automation services and website. By accessing our website at ai-leverage.biz or using our services, you agree to be bound by these Terms.

IMPORTANT: Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you must not use our services.

1. Definitions

  • "AI Leverage," "we," "us," or "our" refers to AI Leverage, an Australian business automation company based in Brisbane, Queensland.
  • "Client," "you," or "your" refers to the individual or entity using our services.
  • "Services" refers to all automation systems, software, consulting, and support provided by AI Leverage.
  • "Pilot Program" refers to our initial automation implementation offering (typically $1,997).
  • "Subscription Services" refers to our ongoing monthly support packages.
  • "Business Data" refers to any data you provide or we process on your behalf (invoices, customer data, etc.).

2. Services Provided

2.1 Automation Services

AI Leverage provides custom business automation solutions including but not limited to:

  • Invoice processing automation (SAGE, Xero, MYOB)
  • Client onboarding workflows
  • Database reactivation systems
  • Executive dashboards and reporting
  • Custom automation development

2.2 Service Delivery

We will make commercially reasonable efforts to:

  • Deliver Pilot Programs within 7-14 business days of receiving all required access and information
  • Provide ongoing support during business hours (9am-5pm AEST, Monday-Friday)
  • Maintain system uptime of 99% (excluding scheduled maintenance)

However, delivery timelines are estimates and may vary based on project complexity and your responsiveness in providing necessary information.

3. Client Obligations

To receive our services, you agree to:

3.1 Provide Accurate Information

  • Supply accurate, complete, and current business information
  • Provide necessary access to systems (API keys, OAuth tokens, etc.)
  • Respond to requests for information within 48 business hours

3.2 Maintain System Access

  • Maintain active accounts with integrated third-party platforms (SAGE, Google, Slack, etc.)
  • Notify us immediately if API credentials are compromised
  • Not revoke our access without 7 days' written notice

3.3 Acceptable Use

You agree not to:

  • Use our services for any illegal or unauthorized purpose
  • Attempt to reverse-engineer, decompile, or access our source code
  • Resell or redistribute our services without written permission
  • Use our services to send spam or unsolicited communications
  • Interfere with or disrupt the integrity or performance of our services

4. Payment Terms

4.1 Pricing

Current pricing is available at ai-leverage.biz. We reserve the right to change prices with 30 days' written notice. Price changes do not affect existing contracts during their minimum term.

4.2 Payment Schedule

  • Pilot Programs: Full payment due upfront before work commences
  • Monthly Subscriptions: Billed monthly in advance on the same day each month
  • Custom Projects: Payment terms as specified in your Statement of Work

4.3 Payment Methods

We accept payment via credit card, debit card, or bank transfer. All payments are processed in Australian Dollars (AUD).

4.4 Late Payments

Late payments are subject to:

  • Service suspension after 7 days overdue
  • Late fee of $50 or 5% of overdue amount (whichever is greater) after 14 days
  • Service termination after 30 days overdue

4.5 Refunds

  • Pilot Programs: Non-refundable once work has commenced. Full refund available if cancelled within 24 hours of purchase before any work begins.
  • Monthly Subscriptions: No refunds for partial months. You may cancel at any time (see Section 6).

4.6 Taxes

All prices exclude GST unless stated otherwise. GST (currently 10%) will be added to invoices for Australian clients where applicable. You are responsible for any other applicable taxes.

5. Service Level and Performance

5.1 Performance Commitment

We commit to delivering automation systems that provide measurable time savings. If a Pilot Program does not deliver measurable results in the first 30 days, we will refine the system at no additional charge.

5.2 Limitations

Our performance commitment is subject to:

  • You providing accurate information and timely access
  • Your systems (SAGE, etc.) functioning correctly
  • Normal business operating conditions

We do not guarantee specific revenue increases, cost savings, or ROI percentages. Estimates provided are based on industry averages and typical results.

5.3 System Availability

We target 99% uptime, excluding:

  • Scheduled maintenance (announced 48 hours in advance)
  • Third-party service outages (AWS, Google, SAGE API, etc.)
  • Force majeure events (see Section 12)

6. Term and Termination

6.1 Pilot Programs

Pilot Programs are one-time engagements. Upon completion, you may choose to continue with a Subscription Service or terminate the relationship.

6.2 Subscription Services

  • Growth Package ($497/month): 4-month minimum term, then month-to-month
  • Full Practice Suite ($1,497/month): 6-month minimum term, then month-to-month

6.3 Cancellation

To cancel a Subscription Service:

  • Provide 30 days' written notice via email to [email protected]
  • You remain responsible for payment through the notice period
  • No refunds for the current billing period

6.4 Termination by AI Leverage

We may terminate your services immediately if you:

  • Breach these Terms and fail to remedy within 14 days of notice
  • Fail to pay invoices within 30 days of the due date
  • Use our services for illegal purposes
  • Engage in abusive behavior toward our staff

6.5 Effect of Termination

Upon termination:

  • We will cease providing services within 7 days
  • You must pay all outstanding invoices
  • We will provide a final export of your automation workflows (at your request)
  • We may delete your data 30 days after termination (unless legal retention required)

7. Intellectual Property

7.1 Our IP

All automation workflows, code, documentation, methodologies, and know-how developed by AI Leverage remain our intellectual property. You receive a non-exclusive, non-transferable license to use the automation systems for your internal business purposes only.

7.2 Your Data

You retain all rights to your Business Data. By using our services, you grant us a license to process your Business Data solely to provide our services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used to improve our services without compensation.

8. Data Protection and Security

8.1 Data Processing

We process your Business Data in accordance with our Privacy Policy and Australian privacy laws (Privacy Act 1988).

8.2 Security Measures

We implement industry-standard security measures including:

  • Encryption in transit (TLS/SSL) and at rest (AES-256)
  • OAuth 2.0 authentication (we never store your passwords)
  • Regular security audits and vulnerability assessments
  • Access controls and audit logging

8.3 Data Breaches

In the event of a data breach, we will notify you within 72 hours and take immediate steps to mitigate the breach, as required by Australian law.

8.4 Your Responsibilities

You are responsible for:

  • Maintaining the security of your own systems and credentials
  • Backing up your own data independently of our services
  • Complying with applicable privacy laws regarding your use of customer data

9. Limitation of Liability

9.1 Maximum Liability

To the maximum extent permitted by Australian law, our total liability to you for any claims arising from these Terms or our services is limited to the amounts you paid us in the 12 months preceding the claim.

9.2 Excluded Damages

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or corruption of data
  • Business interruption
  • Reputational harm

9.3 Third-Party Services

We are not liable for failures or errors caused by third-party services (SAGE, Google, AWS, etc.) or your own systems.

9.4 Australian Consumer Law

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Statutory guarantees under Australian Consumer Law that cannot be excluded

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that:

  • Our services will be performed with reasonable skill and care
  • We have the right to provide the services
  • Our services will comply with Australian laws

10.2 Disclaimer

Except as expressly stated above, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Uninterrupted or error-free operation
  • Specific results or ROI percentages

11. Indemnification

You agree to indemnify and hold harmless AI Leverage, its directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Your use of our services in an unauthorized manner
  • Your Business Data or how you collect/process it

12. Force Majeure

Neither party is liable for delays or failures in performance caused by circumstances beyond reasonable control, including:

  • Natural disasters (floods, fires, earthquakes)
  • Government actions or regulations
  • Internet or utility failures
  • Pandemic or epidemic
  • Strikes or labor disputes

13. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the provision of services, including:

  • Business strategies, processes, and data
  • Technical specifications and workflows
  • Pricing and financial information

This obligation survives termination of our services.

14. Dispute Resolution

14.1 Good Faith Negotiations

If a dispute arises, both parties agree to first attempt resolution through good faith negotiations for 30 days.

14.2 Mediation

If negotiations fail, either party may request mediation through the Australian Disputes Centre or another mutually agreed mediator.

14.3 Governing Law and Jurisdiction

These Terms are governed by the laws of Queensland, Australia. Any legal proceedings must be brought in the courts of Queensland.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any Statement of Work, constitute the entire agreement between you and AI Leverage.

15.2 Amendments

We may update these Terms with 30 days' notice via email. Continued use of our services after changes take effect constitutes acceptance.

15.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.

15.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger or sale of assets.
